Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nybero (the "Service"), operated by Prociro LLC ("Prociro", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Nybero provides WhatsApp marketing automation, a shared inbox, and a flow builder that lets customers connect their own messaging channels and send messages to contacts who have opted in.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and workspaces.

3. Customer responsibilities

  • You must obtain valid opt-in consent from every contact before messaging them.
  • You must comply with the WhatsApp Business Messaging Policy, Meta's policies, and all applicable laws (including GDPR and anti-spam laws).
  • You are responsible for the content of your messages and your use of connected channels.
  • Your use is also subject to our Acceptable Use Policy.

4. Third-party platforms

The Service relies on the WhatsApp Business Platform and other third-party providers. Their availability, fees, and policies are outside our control, and your use of those channels is subject to their terms.

5. Fees

Subscription fees for Nybero are described at sign-up. Messaging charges levied by Meta or other providers may be billed directly to you by those providers on a pass-through basis.

The Service is offered to businesses and professionals for use in their trade or profession. It is not directed at consumers, and statutory consumer withdrawal rights therefore do not apply.

6. Prepaid AI credit and refunds

AI features are paid from a prepaid credit balance that you top up in advance. Credit is drawn down as you use those features, at the model cost shown in the app.

  • Prepaid AI credit is non-refundable and cannot be exchanged for cash, in whole or in part. This includes any unused balance remaining when you cancel your subscription, delete your account, or we suspend or terminate it.
  • Credit does not expire while your account is open, and remains available for AI usage for as long as it is.
  • Subscription fees are charged in advance for the current billing period and are likewise non-refundable. Cancelling stops future charges; it does not refund the period already paid, and you keep access until that period ends.
  • A free trial is not charged. If you cancel before it ends, no subscription fee is due at all.

Nothing here limits rights you have under mandatory law that cannot be waived by agreement.

7. Suspension and termination

We may suspend or terminate access for violations of these Terms or the Acceptable Use Policy, for security reasons, or as required by our upstream providers. You may cancel at any time.

8. Disclaimers and liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Prociro LLC is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the fees you paid in the twelve months preceding the claim.

9. Changes

We may update these Terms. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
